Markham, Ontario – August 5, 2025 – Sangoma Technologies Corporation (TSX: STC; Nasdaq: SANG) ("Sangoma" or the "Company") today announced the closing of the sale of its subsidiary, VoIP Supply, LLC ("VoIP Supply"), effective June 30, 2025.
This transaction marks a key milestone in Sangoma’s ongoing strategic efforts to simplify its portfolio and sharpen its focus on core business areas. As noted in its fiscal 2024 second- and third-quarter results, Sangoma evaluated strategic alternatives to optimize its operations and concentrate resources on high-growth, high-margin segments such as unified communications (cloud, hybrid, and on-premises solutions), contact centers, and communication platforms.
VoIP Supply operated in a segment that was increasingly outside Sangoma’s long-term vision. After a thorough review, the Company determined that divesting this business was the right strategic decision to better align with its core mission and strengthen its operational focus.
Sangoma achieved a multiple of approximately 4x adjusted EBITDA, reflecting a disciplined and financially prudent exit from a non-core asset. Proceeds from the sale will be reinvested in organic growth initiatives supporting the Company’s scalable enterprise architecture, go-to-market strategy, and services-led transformation.

With this sale, Sangoma exits the VoIP hardware distribution segment, marking a deliberate shift toward software-led, recurring-revenue services, which are expected to represent more than 90% of the Company’s revenue mix by fiscal 2026.
